Services Provided
Emperor Assistants LLC provides virtual assistant and operations support services to trades and home service businesses, including but not limited to live call answering, appointment scheduling, inbox and administrative support, CRM management, customer follow-up coordination, light automation, and daily operations reporting.
Specific deliverables, support hours, scope, and fees for each engagement are outlined in your package selection or written proposal. Services are delivered remotely by trained human assistants and supported by internal systems and tools.
We reserve the right to modify, add, or discontinue specific service features with reasonable notice to active clients.
Client Responsibilities
To receive the full benefit of our services, clients agree to:
- Provide accurate, complete, and up-to-date information during onboarding and throughout the engagement
- Supply necessary access to tools, systems, and accounts required to perform agreed services (e.g., scheduling software, email, CRM)
- Respond to requests for clarification or approval in a timely manner
- Ensure that any materials, content, or data you provide do not infringe on third-party intellectual property rights or violate applicable laws
- Notify us promptly of changes to your business operations, preferences, or contact information that may affect service delivery
Emperor Assistants LLC is not liable for service delays or gaps that result from a client's failure to meet these responsibilities.
Payment & Fees
Service fees are billed as a monthly retainer, as outlined in your selected package or proposal. A one-time setup fee applies to all new engagements and is due prior to or at the commencement of onboarding.
Invoices are issued at the start of each billing period and are due upon receipt unless otherwise specified in writing. Accepted payment methods will be communicated at the time of engagement.
Late payments may result in a pause or suspension of services. Emperor Assistants LLC reserves the right to charge interest on overdue balances at a rate consistent with applicable Missouri law.
All fees are stated in US dollars unless otherwise specified in writing.
Confidentiality & Data
Emperor Assistants LLC treats all client business information as confidential. This includes but is not limited to customer data, business processes, pricing, internal communications, and proprietary workflows shared during the course of our engagement.
We will not disclose your confidential information to third parties except where required by law or necessary to deliver the agreed services (e.g., integration with scheduling or CRM platforms you have authorized us to use).
Clients are responsible for ensuring they have the right to share any customer or third-party data with us, and that doing so complies with applicable privacy laws including relevant US state and federal privacy regulations.

Intellectual Property
Any materials, scripts, workflows, or processes developed by Emperor Assistants LLC in the course of delivering services remain the intellectual property of Emperor Assistants LLC unless explicitly transferred in writing.
Client-provided materials — including brand assets, business information, and customer data — remain the property of the client. Emperor Assistants LLC uses these solely to deliver the agreed services.
Clients may not reproduce, resell, or redistribute Emperor Assistants LLC's internal processes, templates, or systems without prior written consent.
Termination
Either party may terminate the service engagement with written notice. For month-to-month agreements, a minimum of 14 days' written notice is required prior to the next billing cycle.
Upon termination, the client agrees to pay for all services rendered up to and including the termination date. Setup fees are non-refundable once onboarding has commenced.
Emperor Assistants LLC reserves the right to terminate services immediately, without notice, in cases of non-payment, abusive conduct toward team members, or client actions that violate these terms or applicable law.
Upon termination, we will return or securely delete any client-provided data upon written request, subject to any legal retention obligations.
Limitation of Liability
Emperor Assistants LLC provides services on a best-efforts basis. While we strive for consistency and accuracy, we cannot guarantee specific business outcomes, revenue results, or the performance of third-party tools and platforms.
To the maximum extent permitted by applicable law, Emperor Assistants LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or website, including but not limited to lost revenue, lost data, or business interruption.
Our total liability to any client for any claim arising from our services shall not exceed the total fees paid by that client in the three months preceding the claim.
Disputes & Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Missouri, United States of America, without regard to conflict of law principles.
In the event of a dispute, both parties agree to first attempt resolution in good faith through direct communication. If a resolution cannot be reached within 30 days, either party may pursue available legal remedies in the appropriate courts of Missouri.
Where required by applicable law, clients located in Canada or other jurisdictions retain any rights afforded to them under their local consumer protection or privacy legislation.
Changes to These Terms
Emperor Assistants LLC reserves the right to update or modify these Terms of Service at any time. When changes are made, the updated terms will be posted on this page with a revised effective date.
Continued use of our services following the posting of updated terms constitutes acceptance of those changes. We encourage clients to review this page periodically. For material changes, we will make reasonable efforts to notify active clients directly.
